These terms govern your use of dorsyniq.com and any order you place through it. The site is operated by COKIND INTERNATIONAL CO., LIMITED, a company registered in Hong Kong, whose registered office is Room 2305, 23/F, Ocean Building, 80 Shanghai Street, Yau Ma Tei, Kowloon, Hong Kong, trading as Dorsyniq. By using this site or placing an order you agree to these terms. If you do not agree with them, please do not use the site.

1. Eligibility

You must be at least 18 years old and able to enter into a binding contract to place an order. By ordering you confirm that the payment method you use is your own or that you have permission to use it.

2. What we sell, and how it is measured

We sell furnishing cloth by the linear metre and embroidered panels by the piece, made to our own specifications. Cloth is cut across the full width of the roll: one metre of a 300 cm cloth is a piece 100 cm long and 300 cm wide. An order for several metres is supplied as one continuous length unless we tell you otherwise before dispatch.

Composition, width, weight and, where applicable, rub test and flammability rating are published on each product page. Where a flammability rating is stated we will supply the certificate on request.

3. Variation in natural materials

Linen carries slub and small weave irregularities. Velvet and chenille have a pile or nap that shades as it turns and takes seat marks in use. Dye lots vary between production runs, so cloth bought in separate orders may not match. Embroidered panels are worked on a frame, so stitch and motif placement varies between panels. All of this is inherent to the goods, is described on the relevant product pages, and does not constitute a fault.

Photographs are representative rather than exact, and colour reproduction varies between screens. We supply cuttings free of charge for this reason and recommend ordering one before committing to a quantity.

4. Orders and acceptance

Placing an order is an offer to buy. A confirmation email acknowledges that we have received it; it does not by itself accept it. The contract between us is formed when we dispatch the goods and send you a dispatch notice. Until then we may decline or cancel an order, for example where a cloth is out of stock, where a price or description was published in error, where we cannot verify the payment or delivery details, or where we reasonably suspect fraud. If we cancel an order you have paid for, we refund it in full.

5. Prices and payment

All prices are in US dollars and exclude any import duty, customs charge or sales tax applied outside the United States, which are your responsibility and are collected by the carrier or customs authority, not by us. We may change prices at any time, but a change never affects an order already accepted. Payment is taken through our payment processor; we do not receive or store full card details. Where a price is obviously wrong we are not required to supply the goods at that price and will tell you before doing anything else.

6. Delivery

Delivery timescales and charges are set out in our Shipping Policy, which forms part of these terms. Delivery estimates are estimates and not guarantees. Risk in the goods passes to you on delivery.

7. Returns and refunds

Our Return and Refund Policy forms part of these terms. Cloth cut to your order cannot be returned for change of mind, because it cannot be returned to stock; panels may be returned unused within 30 days. Nothing in these terms limits any statutory right you have as a consumer.

8. Suitability

We describe what each cloth is suitable for and we will tell you when a cloth is wrong for a job. The final decision on suitability, quantity and making-up is yours and your upholsterer's or curtain maker's. We are not liable for cloth cut or made up incorrectly, for quantities ordered short, or for a cloth used outside the application stated on its page.

9. Using the site

You may use this site for lawful purposes only. You must not attempt to gain unauthorised access to it, interfere with its operation, scrape or harvest data from it by automated means, place orders you do not intend to pay for, or use it in a way that could damage or overload it.

10. Intellectual property

The designs of our cloths and panels, the product photography, the text on this site and the Dorsyniq name and marks belong to us or are used by us with permission. You may not copy, reproduce or use any of it commercially without our written consent.

Dorsyniq is an independent designer and retailer. We are not affiliated with, authorised by, endorsed by or connected to any other textile house or furnishing brand, and no third-party brand, collection name or design is offered or implied on this site.

11. Your content

If you send us a review, photograph or other material, you grant us a non-exclusive, royalty-free licence to use it in connection with our business, and you confirm it is yours to give and that it is not unlawful or offensive.

12. Availability of the site

We try to keep the site available but do not guarantee uninterrupted access. We may suspend, withdraw or change any part of it without notice, including discontinuing a cloth or a colourway.

13. Liability

We do not exclude or limit our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be excluded. Subject to that, we are not liable for indirect or consequential loss, loss of profit, loss of data, or loss arising from your misuse of a product, and our total liability in connection with any order is limited to the amount you paid for that order.

14. Events outside our control

We are not liable for delay or failure to perform caused by something beyond our reasonable control, including carrier disruption, customs delay, industrial action, extreme weather, failure of public networks, or acts of government. If such an event occurs we will contact you and, where the delay is substantial, you may cancel for a full refund.

15. Changes to these terms

We may revise these terms from time to time. The version in force when you place an order is the version that applies to it.

16. Governing law

These terms and any dispute arising from them are governed by the laws of the Hong Kong Special Administrative Region, and the courts of Hong Kong have exclusive jurisdiction. If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory consumer law in the country where you live.

17. General

If any provision of these terms is found to be unenforceable, the rest continue in force. A delay in enforcing a term is not a waiver of it. These terms, together with our Privacy Policy, Shipping Policy and Return and Refund Policy, are the whole agreement between us about their subject matter.
